Terms & Conditions of Business

1., The following terms and/or expressions shall have the following meanings:

"the Photographer/s - means Alan Stone and/or Keeley Stone trading as Stones Imaging.
"Client" - means a company or business, and/or their representative, who accept these Terms & Conditions of Business for any commissioned photography work.
"Material/s" - means all forms of photographic imagery and all forms of digital files and digital imagery created and produced by the Photographer/s.
"Order" - means any request, commission or instruction made by a Client and agreed in writing (email) by that Client and the Photographer/s.
"Price" - means the sum of money required for completion of an Order as stated in writing (email) by the Photographer/s and agreed by the Client.

2., Any Order undertaken by the Photographer/s for a Client shall be subject to these Term & Conditions of Business.

3., Any Order is to be made in writing (email) by a Client before that Order is accepted by the Photographer/s.

4., In agreeing an Order, a Client must accept these Terms & Conditions of Business in writing (email) before that Order is confirmed by the Photographer/s.

5., Copyright in ALL Material/s is retained worldwide by the Photographers at ALL times and nothing shall be deemed as disposal of the Photographer/s rights in the Material/s UNLESS OTHERWISE FORMALLY AGREED IN WRITING BY THE PHOTOGRAPHER/S.

6., The Photographer/s will licence the Client to use the Material/s produced as set out in an Order. Any breach of such licence shall automatically be revoked by the Photographer/s without notice.

7., The Photographer/s will undertake to fulfill the requirements of an Order made by a Client.

8., In consideration for the Photographers undertaking in Paragraph 7, the Client will pay the Price for an Order in accordance with the provisions set out in Paragraphs 9a., 9b., 9c., 9d., 9e.

9a., Where considered applicable due to the length of an Order or it's complexity, the Photographer/s will require a payment on account in the region of 25% of the Price for the Order, such sum to be agreed between the Photographer/s and the Client in writing (email) AND PAID IN FULL before any work is commenced to create any Material/s.

9b., In the event of a cancellation of an Order by a Client, in addition to any entitlement to claim for losses arising from such cancellation, the Photographers shall be entitled to retain any agreed deposit paid on account.

9c., Where extra expense or time is incurred by the Photographer/s as a result of alteration to an Order by whatever cause, other than by the Photographer/s, the Client will be required to pay such extra expense or fees at the Photographers normal rate/s.

9d., When producing Material/s as digital files that are transmitted electronically or delivered on CD/DVD media, and/or when urgent delivery of any Material/s is required, the Photographers will produce an emailed invoice and will require full payment of the Price for an Order by bank transfer BEFORE any Material/s are delivered.

9d., For other Price payments on completion of an Order, an invoice for the Price, (less monies paid on acount if applicable), will be delivered to the Client who shall pay the Price within 28 days of the invoice date. If any sum is unpaid after the expiry of the 28 days, the Photographer/s reserve the right to charge interest at the rate prescribed by the Late Payment of Commercial Debt (Interest) Act 1998 from the date payment was due until the date payment is made.

10., The Photographer/s shall not be liable to a Client for any failure, in whole or in part, to fulfill the Photographer/s obligations under an Order where such failure arises as a result of any circumstances beyond the Photographers control, which may include - but not be limited to - events of force majeure, acts of war, acts of terrorism, industrial strikes, compliance with law, order, rule or regulation, fire, flood, storm or other weather conditions, equipment failure, illness, accident or injury. However, where and when possible, the Photographer/s will make all reasonable effort to complete an Order at another time and/or place, at the same Price, if and when any prevailing conditions subside, subject to any condition/s arising under Paragraph 9c.

11., An Order, governed by and together with these Term & Conditions of Business shall form an agreement between the Photographer/s and a Client with any changes only being valid if otherwise agreed in writing (email) by both parties.

12., Any agreement between the Photographer/s and a Client shall be governed by the laws of England.
